VEDLEGG TIL INNKALLING TIL EKSTRAORDINÆR GENERALFORSAMLING I EMS SEVEN SEAS ASA, 1. JUNI 2014. Styrets forslag til de i innkallingen angitte saker: Sak 5: Forslag om strykning av selskapets aksjer fra Oslo Børs Forslag om strykning av selskapets aksjer Etter anmodning fra Selskapets eneaksjonær fremmer styret forslag om at selskapets ekstraordinære generalforsamling fatter vedtak om å søke om strykning av selskapet fra notering på Oslo Børs. Nærmere om begrunnelsen for forslaget Bakgrunnen for forslaget om at selskapets aksjer ikke videreføres som notert på Oslo Børs, er at styret finner at aksjen ikke anses som egnet for videre notering. Etter gjennomføring av tvungen overføring av aksjene er Supreme Group B.V. eneste aksjonær i selskapet og det vil således ikke være noen handel i aksjene på Oslo Børs. Styret finner på denne bakgrunn at heller ikke vilkårene for fortsatt notering er oppfylt, jf opptaksreglenes vilkår om allmenn interesse, spredning/antall børsposteiere og regelmessig omsetning. Nærmere om prosessen ved en eventuell strykning I henhold til Børsreglene, løpende forpliktelser pkt 15.1 fjerde ledd og allmennaksjeloven 15-1 første ledd, kan et børsnotert selskap søke Oslo Børs om at dets aksjer blir strøket fra kursnoteringen hvis generalforsamlingen har besluttet dette med flertall som for vedtektsendringer. Administrasjonen ved Oslo Børs treffer vedtak om eventuell strykning, basert på en skjønnsmessig vurdering. Det er ikke fastsatt nærmere vilkår for at aksjene kan strykes fra notering, annet enn at de generelle hensyn som følger av børsloven 25 første ledd (som direkte regulerer strykning av aksje etter børsens initiativ) også vil gjelde i saker om strykning etter selskapets initiativ. Hvis generalforsamlingen med vedtektsmessig flertall vedtar forslaget om å søke Oslo Børs om at selskapets aksjer blir strøket fra notering, vil det umiddelbart i etterkant bli sendt en slik søknad, hvoretter denne antas å kunne bli behandlet av børsen innenfor relativt kort tid. Selskapets aksjonær og markedet for øvrig vil bli holdt orientert om den nærmere gjennomføring av en eventuell strykning etter at Oslo Børs har behandlet søknaden. Nærmere om hensynet til aksjeeierens interesser Styret for selskapet ønsker også etter en eventuell strykning av aksjen å praktisere en aksjonærpolitikk og prinsipper for eierstyring og selskapsledelse som tilgodeser selskapets aksjonær. Styret fremmer i henhold til dette følgende forslag til VEDTAK: Generalforsamlingen slutter seg til forslag om at EMS Seven Seas ASA søker Oslo Børs ASA om samtykke til at selskapets aksjer blir strøket fra notering på Oslo Børs.
Sak 6: Forslag om omdanning fra allmennaksjeselskap til aksjeselskap Forslag om omdanning og begrunnelse for forslaget Etter anmodning fra selskapets eneaksjonær, foreslår styret at generalforsamlingen fatter vedtak om at selskapet blir omdannet fra et allmennaksjeselskap til et aksjeselskap i samsvar med allmennaksjelovens kapittel 15, under forutsetning av at (i) den ekstraordinære generalforsamlingen vedtar forslaget om å sende søknad til Oslo Børs ASA om strykning av selskapets aksjer fra børsnotering, se Sak 5, og (ii) at Oslo Børs ASA deretter godkjenner selskapets søknad om strykning fra Oslo Børs ASA. Bakgrunnen for forslaget om omdanning til aksjeselskap er at aksjeselskapsformen anses som bedre egnet som følge av den endrede aksjonærstrukturen i selskapet. Videre er aksjeselskaper på en del punkter underlagt enklere krav enn allmennaksjeselskaper, og det antas å være kostnadsbesparende å omdanne selskapet til et aksjeselskap. Nærmere om virkningen av en omdanning En omdannelse fra allmennaksjeselskap til aksjeselskap vil blant annet ha følgende virkninger: Selskapet vil ellers være underlagt lov om aksjeselskaper 13. juni 1997 nr. 44 ( aksjeloven ). Aksjekapitalen behøver ikke være høyere enn kr. 30.000, hvilket imidlertid ikke er aktuelt for selskapet. Det er frivillig og ikke obligatorisk å registrere aksjene i et aksjeselskap i et verdipapirregister. Selskapet vil ikke ha anledning til å invitere allmennheten til å tegne aksjer i selskapet. Styret kan bestå av kun et styremedlem, og det er adgang til å bestemme at selskapet ikke skal ha en daglig leder. Innkalling til generalforsamling kan sendes med en ukes varsel. Kravene til dokumentasjon som kreves i forbindelse med fusjon/fisjon vil være mindre omfattende. Kravene i forbindelse med aksjekapitalforhøyelse vil være mindre omfattende. Kravene i forbindelse med tingsinnskudd vil være mindre omfattende. Kravene om at begge kjønn må være representert i styret vil ikke gjelde. Aksjeloven gir på visse vilkår rett for en aksjeeier til å tre ut av selskapet og selskapet kan på visse vilkår kreve utløsning av en aksjeeier. Selskapets vedtekter kan ikke fastsette at aksjonærer som ønsker å møte på generalforsamlingen må varsle selskapet om dette innen en gitt tidsfrist. Erverv av aksjer i et AS er betinget av samtykke fra selskapets styre med mindre det er fastsatt i vedtektene at samtykke ikke kreves. Aksjeeierne i et AS har rett til å overta en aksje som har skiftet eier med mindre noe annet er fastsatt i vedtektene. Styret fremmer i henhold til dette følgende forslag til VEDTAK: Under forutsetning av at den ekstraordinære generalforsamlingen først har vedtatt forslag om å sende søknad til Oslo Børs ASA om strykning av selskapets aksjer fra børsnotering, slutter generalforsamlingen seg til forslag om at selskapet omdannes fra allmennaksjeselskap til aksjeselskap. Vedtaket om omdanning er betinget av at Oslo Børs ASA godkjenner selskapets søknad om strykning fra Oslo Børs ASA, slik at omdanningen, med tilhørende vedtektsendringer, ikke gjennomføres og registreres i Foretaksregisteret før selskapets aksjer er strøket fra notering på Oslo Børs. Er vedtaket ikke meldt til Foretaksregisteret innen 3 måneder, bortfaller vedtaket.
ATTACHMENT TO NOTICE OF EXTRAORDINARY GENERAL MEETING OF EMS SEVEN SEAS ASA, 1 JUNE 2014 The Board's proposal to the items on the agenda: Item 5: Proposal of delisting of the company s shares from Oslo Stock Exchange Proposal of delisting of the Company s shares At the request from the Company's sole shareholder, the Board proposes that the company s Extraordinary General Meeting adopts the resolution to apply for delisting of the company from Oslo Stock Exchange. Further explanation for the proposal The background for the proposal regarding the shares being delisted from Oslo Stock Exchange is that the Board finds the company not to be considered suitable for continued listing. After completion of the compulsory acquisition of the shares, Supreme Group BV is the sole shareholder of the company and consequently there will be no trade of the shares on the Oslo Stock Exchange. The Board finds on this basis that neither the conditions for continued listing are met, cf. the Listing terms of public interest, diversification/ number of shareholders and regularly trading. Further explanation of the process of a possible delisting According to the Stock Exchange Rules, Continuing Obligations listed companies section 15.1, fourth paragraph and the Public Limited liability Act section 15-1, first paragraph, a listed company may apply the Stock Exchange for the shares to be delisted from exchange quotation if the General Assembly so decides with the majority required for amendments of the articles of association. Oslo Stock Exchange makes the decision whether the company should be delisted, based on a subjective assessment. There are no specific requirements for the shares to be delisted, other than that the general considerations stated in Norwegian Stock Exchange Act section 25, first paragraph (which directly regulates the delisting of shares after the Stock Exchange s own initiative) also apply in cases of delisting after the company's own initiative. If the General Meeting with the majority required for amendments of the articles of association adopts the proposal to apply the Oslo Stock Exchange for delisting of the shares, an application of such delisting will be sent immediately. The application is believed to be processed by the Stock Exchange within a relatively short time. The Company's shareholder and the market in general will be kept informed on the further implementation of a possible delisting after the Oslo Stock Exchange has processed the application. The shareholder's interests The Board of Directors of the company wishes to practice a shareholder policy and principles of corporate governance that benefit the company's shareholder also after the delisting of the company. According to this, the Board puts forward the following suggestion: RESOLUTION: The General Meeting endorses the proposal that EMS Seven Seas ASA applies Oslo Stock Exchange ASA to consent to the company s shares being delisted from Oslo Stock Exchange.
Item 6: Proposal of conversion into a private limited liability company from a public limited liability company Proposal of conversion and explanation for the proposal. At the request from the Company's sole shareholder, the Board proposes that the General Meeting resolves that the company should be converted from a public limited liability company to a private limited liability company in accordance with the Public Limited Liability Act chapter 15, under the presumption that (i) the General Meeting resolves the proposal of sending an application to Oslo Stock Exchange ASA regarding delisting of the company, see item 5, and (ii) that Oslo Stock Exchange ASA thereafter approves the application regarding delisting of the company from Oslo Stock Exchange ASA. The reason behind the proposal of conversion to private limited company is that the company structure is better suited as a result of the changed shareholder structure in the company. Furthermore, private limited companies are on a number of points subject to easier requirements than a public limited liability, and it is believed to be more cost-effective to convert the company to a private limited liability company. The impacts of a conversion A conversion from a public limited liability company to a private limited liability company will among other factors have the following impacts: The company will be subject to the Private limited companies Act of 13 June 1997 No. 44 The share capital can be NOK 30 000, however this is not relevant for the company. It is voluntary and not compulsory to register the shares of a private limited liability company in a securities register. The company will not have the opportunity to invite the public to subscribe for shares in the company. The Board may consist of only one board member and may choose not to have a general manager. Notice to the General Meeting can be sent with one week s notice. The documentation required in connection with a merger / demerger will be less extensive. The requirements in connection with a share capital increase will be less extensive. The requirements in connection with a contribution in kind will be less extensive. Demands that both sexes must be represented in the board will not apply. According to the Private Limited Companies Act the shareholder may withdraw from the company and the company may under certain circumstances require the release of a shareholder. The Articles of Association can not determine that shareholders who wish to attend the General Meeting must notify the Company accordingly within a given deadline. A share acquisition in a private limited liability company shall be subject to the consent of the company unless it is provided for in the articles of association. The shareholders in a private limited liability company shall be entitled to take over a share that has changed hands, unless otherwise provided for in the articles of association. According to this, the Board puts forward the following suggestion: RESOLUTION: Provided that the Extraordinary General Assembly first adopts the proposal to submit an application to Oslo Stock Exchange ASA regarding delisting of its shares from the exchange quotation, the General meeting adopts the proposal that the company is converted from a public limited liability company to
a private limited liability company. The resolution of conversion depends on whether the Oslo Stock Exchange approves the company's application for delisting from Oslo Stock Exchange ASA, so that the conversion with appurtenant changes in the articles of associations is not completed and registered in the Register of Business Enterprises before the shares are delisted from the Oslo Stock Exchange. If the resolution is not reported to the Register within three months the resolution lapses. ****
