Market outlook for 2006 and onwards looks promising Order book at the end of 1 st MNOK 2,600 Improved results with increased capacity In 1 st DeepOcean started the operation of 7 vessels and its 4 ROV-systems. In addition the company has followed up the building and ship integration of the 6 newly ordered ROVs and survey equipment. is therefore characterized by the start-up of several projects together with heavy recruitment and investment activities. As the Oceanteam Group was acquired in August 2005, 1 st 2005 is presented on a proforma basis as if Oceanteam was consolidated from 1.1.2005, to ease comparisons. accounts (2005 on a pro-forma basis): MNOK 2006 2005 % Change Revenues 184,9 130,8 41,4 Pre-tax profit 13,8 5,1 168,6 Operation revenue figures show a 41% increase compared to 2005 and 169% improved pretax profit. The main reason for this positive development is increased operating income due to new projects starting up this year. Both the Statoil IMR project in Norway and 2 additional projects in the Gulf of Mexico have started operations in, which were not operated in 1 st 2005. The Mexican projects are operated with Bold Endeavour and Aquanaut. In addition we started the season with Normand Tonjer in the Black Sea and continued with the same vessel in the North Sea for Statoil together with Edda Fonn. At the same time the decommissioning project for Total on the Frigg field has started. The company has achieved an improved overall project margin in the period. This increase has been possible despite of heavy start up costs, of both mobilising vessels and recruitment of new personnel. The equipment acquired during 2005 and 1 st 2006 cause an increased fixed asset base, and thus increases the depreciation figures with MNOK 3.0. Net finance has improved with MNOK 0.8. The activity level for the compared to total year must be seen in the light of the normal industry seasonal variations with relatively weak 1 st and 4th especially in the North Sea region. Balance sheet Total balance amounts to MNOK 953 compared to 645 end of 1 st 2005 (pro-forma). This increase is due to the new investments through the period, increased receivables due to the higher activity and increased cash position due to the share issue late 2005. Merger The merging process with the previous Oceanteam organisation is developing as planned, and we expect to take the full effects in 2006 of aligning the organization and use our equipment in both the main geographic markets. During the group has established a new company in Mexico, to enable us to make further marketing efforts in the region. Investments During 2006 the company have pursued the investment plans placed in the 4 th last year for new equipment of NOK 180 million, having most of the systems placed and integrated onboard the ships. During 1 st DeepOcean has taken delivery of 4 new ROVs, that are now ready for starting operation in the 2 nd. In 2 nd 2 additional systems will be delivered. Recruiting In we continued the heavy recruitment activities in order to increase the company s offshore manpower resources, to be able to execute all the work for 2006. During this 63 new employees have been recruited. Charters In the the company was occupied with the start-up of the 2006 season for 7 of the vessels; Normand Tonjer, Edda Fonn, Atlantic Challenger, Arbol Grande, Acquanaut, Bold Endavour and Multraship Commander. In the 2 nd further 3 of the vessels will start their operations, namely Polar Prince, Normand Flower and Edda Freya. Order book The company has a strong order book of about NOK 2.6 billion by the end of 1 st qrt 2006. Market and future outlook The market for 2006 and onwards seems very promising for the company with several large projects coming up, and our ambition is to pursue our original plan for the year. DeepOcean has increased its capacity, and will from March/April have 10 vessels in operation. With the increased capacity, turnover is expected to exceed NOK 1 billion in 2006. I 1. kvartal startet selskapet operasjon av 7 skip og selskapets 4 ROV systemer. I tillegg har selskapet fulgt opp byggingen og integreringen av 6 nylig bestilte ROVer og survey utstyr. 1. kvartal er derfor preget av oppstart av flere prosjekter sammen med en intens rekrutterings- og investeringsaktivitet. Hovedforklaringen til denne positive utviklingen er økte operasjonelle inntekter fra de nye prosjektene som er startet opp i år. Både Statoil IMR prosjektet i Nordsjøen og 2 andre prosjekter i Mexicogulfen har startet opp i 1. kvartal. Disse prosjektene ble ikke drevet i 1. kvartal 2005. De mexicanske prosjektene opereres med Bold Endeavour og Aquanaut. I tillegg startet vi sesongen med Normand Tonjer i Svartehavet for deretter å fortsette med skipet i Nordsjøen for Statoil sammen med Edda Fonn. Samtidig igangsatte vi 2006 sesongen for rivningsprosjektet for Total på Frigg feltet. Selskapet har oppnådd generelt bedrede prosjektmarginer i perioden. Disse forbedringer har vært mulige til tross for relativt tunge oppstartsaktiviteter i forbindelse med så vel mobilisering av skipene som rekruttering av nytt personell. Utstyr anskaffet gjennom 2005 og i årets 1. kvartal forårsaker økte anleggsmidler med tilhørende økt avskrivingskost med MNOK 3.0 i forhold til 2005. Netto finans er forbedret med MNOK 0.8. Aktivitetsnivået i kvartalet må sees i lys av den normale sesongmessige variasjonen som karakteriserer bransjen, med relativt svakere 1. og 4. kvartaler spesielt i Nordsjøen Balanse Total balanse viser MNOK 953 sammenlignet med MNOK 645 ved slutten av 1. kvartal 2005 (proforma). Denne økningen skyldes økte investeringer gjennom perioden, økte kundefordringer pga. det økte aktivitetsnivået (salg) og økt kontantbeholdning fra emisjonen sent i 2005. Sammenslåingsprosessen Prosessen utvikler seg som planlagt og vi forventer å få full effekt i 2006 ved å optimalisere bruk av organisasjonen og benytte begge hovedmarkeder for selskapets utstyr. I kvartalet har gruppen etablert et nytt selskap i Mexico blant annet for å forberede videre markeds satsing i regionen. Finansiering og investering I 4. kvartal 2005 plasserte selskapet ordrer på utstyrsinvesteringer på MNOK 180 for levering i 2006. Gjennom 1. kvartal 2006 har selskapet fulgt opp disse investeringene i anskaffelse og integrering ombord på skipene. I 1. kvartal har DeepOcean tatt imot 4 nye ROVer som nå er klare for oppstart i 2. kvartal. I 2. kvartal vil ytterligere 2 systemer bli levert. Rekruttering I 1. kvartal fortsatte vi med den intensive rekrutteringsaktiviteten som ble påbegynt i 2005 for å øke selskapets offshore mannskap ressurs, slik at selskapet skal være i stand til å utføre alle 2006 prosjektene. I løpet av kvartalet er 63 nyansatte rekruttert. This interim report is prepared in accordance with IAS 34. The consolidated financial statements have been prepared based on a historical cost convention, modified by the revaluation of financial assets and liabilities at fair value through profit and loss. The accounts of Oceanteam AS and its subsidiaries have been included in the consolidated accounts of DeepOcean ASA from 1 August 2005. The proforma financial information has been produced to illustrate the effect on the income statements as if the amalgamation and business combination between DeepOcean ASA and Oceanteam Group had occurred on the first day in each period.
